Terms of service

The short version: this covers how we work together on a project, who owns what, how payment works, and what happens if something needs to change.

Acceptance of terms
By using this site or engaging Foresynth FZ-LLC (“Foresynth”, “we”, “us”) to deliver Services, you (the “Client”) agree to these Terms of Service (the “Agreement”). If you do not agree, do not use the site or our Services.
Services provided
We provide Web2, Web3, and IT Services. The scope, deliverables, and price for any project are defined in a separate signed proposal or statement of work. These general terms govern the relationship alongside that document; where the two conflict, the signed agreement for that project takes precedence.
Client responsibilities
To deliver on time, we rely on you to:
- Provide timely feedback and approvals when requested.
- Provide the access, credentials, and assets we need to work.
- Make payments on the agreed schedule.
- Ensure the information and materials you supply are accurate and lawful to use.
Payment terms
Unless your signed agreement states otherwise:
- Projects run on a deposit and milestone structure, with an upfront deposit before work begins.
- Invoices are issued in AED and due within 14 days.
- Late payment may pause active work until the balance is settled.
- Refunds, where applicable, follow the conditions set out in your signed agreement.
Intellectual property and code ownership
On full payment, ownership of the final Deliverables transfers to you. Foresynth retains rights to its general methodologies, frameworks, and reusable components developed independently of your project, and grants you a licence to use them within the delivered work.
IP terms are the most common source of dispute in this industry, so this section needs particularly careful legal review before publish.
Project timelines and delays
Estimated timelines are planning tools, not guarantees. Delays caused by the Client, such as late feedback or late delivery of assets, extend the timeline accordingly. Neither party is liable for delays caused by events beyond its reasonable control (force majeure).
Confidentiality
Each party keeps the other’s non-public project details and business information confidential, and uses them only to perform the engagement. This obligation survives termination of the Agreement.
Warranties and disclaimers
We perform Services with reasonable professional skill and care. Beyond that, Services are provided “as is”. We do not guarantee specific business outcomes such as traffic, revenue, or search rankings, as these depend on factors outside our control.
Limitation of liability
To the extent permitted by law, our total liability arising from a project is capped at the fees paid for that specific service. We are not liable for indirect, incidental, or consequential losses. Caps and exclusions vary by jurisdiction, so this section needs legal review before publish.
Termination
Either party may terminate an engagement with written notice. On termination, you pay for work completed and milestones delivered up to that date. We hand over any paid-for work in progress, and sections intended to survive, including IP, confidentiality, and liability, continue to apply.
Dispute resolution and governing law
This Agreement is governed by the laws of the United Arab Emirates. The parties will first try to resolve any dispute through good-faith negotiation. If that fails, the dispute is referred to arbitration or the Dubai courts. The exact jurisdiction and arbitration body need to be confirmed with legal counsel before publish.
Changes to these terms
We may update these terms as our services and legal obligations evolve. The current version is always posted here, and the “last updated” date at the top is the reference point for the latest change. Continued use after changes means you accept the updated terms.
